Terms and Conditions of Service

IMPORTANT: BY ENGAGING FIX VISE LLC ("Company," "we," "us," or "our") FOR ANY SERVICE—WHETHER DIGITAL SOLUTIONS, MOBILE REPAIR, IT SUPPORT, OR ANY OTHER OFFERING—YOU ("Client," "Customer," or "you") EXPRESSLY ACKNOWLEDGE THAT YOU HAVE READ, UNDERSTOOD, AND AGREE TO BE BOUND BY THESE TERMS AND CONDITIONS. NO SERVICES WILL BE PROVIDED WITHOUT YOUR EXPLICIT CONSENT TO THESE TERMS.

Section 1: General Provisions

1.1 Acceptance of Terms

All services provided by Fix Vise LLC are subject exclusively to these Terms and Conditions. No verbal representations, estimates, or promises supersede these written terms. Your signature on any work order, digital acknowledgment, or payment constitutes irrevocable acceptance.

1.2 Scope of Services

Fix Vise LLC operates as a mobile-first service provider with the following divisions:

  • Fix Vise Mobile Repair: On-site hardware/software repair for IT equipment, CCTV, computers, and related technology
  • Fix Vise Digital Solutions: Web development, UI/UX design, branding, marketing, and software development
  • Fix Vise Configuration Services: System setup, activation, and optimization services

1.3 No Implied Warranties

EXCEPT AS EXPRESSLY STATED HEREIN, FIX VISE LLC DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO: Merchantability, Fitness for a particular purpose, Non-infringement, and Workmanship guarantees beyond stated warranty periods.

Section 2: Mobile Repair Services - Critical Limitations

2.1 Mobile Service Nature & Travel Policy

Fix Vise LLC operates as a mobile service provider. This fundamental business model imposes strict limitations:

A. Geographic Service Area

  • Primary service radius: 50 miles from Fort Worth, Texas headquarters
  • Extended service (50-100 miles): Subject to $2.50/mile travel surcharge each way
  • Beyond 100 miles: Not available or requires negotiated travel fees

B. Travel Warranty Exclusion

Fix Vise LLC DOES NOT provide free return visits for any reason. Warranty coverage applies EXCLUSIVELY to replacement parts and labor performed during the initial service call. If a warranty issue requires physical return service, standard travel fees apply in full. Customer may alternatively bring equipment to our facility at no additional travel charge.

Emergency/After-Hours Surcharge: +50% to travel fees for requests outside 8:00 AM - 6:00 PM CST, Monday-Saturday.

2.2 Warranty Coverage for Mobile Repairs

A. What IS Covered (Parts Only Warranty)

  • Defective replacement components (hardware)
  • Installation labor defects manifesting within 30 days of service
  • Manufacturer defects in parts supplied by Fix Vise LLC

B. What is NOT Covered (Explicit Exclusions)

  1. Travel costs for warranty service (see 2.1.B)
  2. Time and labor for diagnosis of warranty claims ($85/hour, 1-hour minimum)
  3. Damage caused by: Customer misuse, negligence, or accidents; Power surges, lightning, or electrical anomalies; Environmental factors (moisture, heat, dust, pests); Third-party modifications post-service; Pre-existing conditions not detectable during initial service
  4. Data loss of any kind (see Section 2.4)
  5. Consumables (toner, ink, thermal paste, cleaning materials)
  6. Software issues arising after 7 days post-installation

C. Warranty Claim Process

  1. Customer must notify Fix Vise within 48 hours of discovering defect
  2. Remote diagnosis attempted first (no charge if issue resolves)
  3. If physical service required: Customer pays travel fees upfront ($90-$350 depending on distance)
  4. If claim validated as warranty: Parts and labor reimbursed; travel fees remain non-refundable
  5. If claim denied: All fees including diagnosis retained by Fix Vise

D. Warranty Transferability

Warranties are NON-TRANSFERABLE and apply only to the original service location and customer. Change of address voids remaining warranty period unless new location is within original service radius and new travel fees are paid.

2.3 Configuration & Activation Services

Separate Billing Structure:

  • Hardware Repair: Covered under parts warranty (Section 2.2)
  • Software Configuration: Billed separately at $125/hour with NO WARRANTY
  • System Activation: $75 per device/instance, non-refundable, no warranty
  • Network Setup: $150/hour, 2-hour minimum, 30-day functionality warranty only

2.4 Data Liability Waiver

ABSOLUTE DATA PROTECTION WAIVER:

Fix Vise LLC ASSUMES NO LIABILITY for data loss, corruption, or breach during any service. Customers are SOLELY RESPONSIBLE for backing up all data prior to service. We recommend cloud backup or external drive backup before our arrival. If you decline backup assistance offered at $50/hour, you waive all claims for data loss.

We do NOT guarantee:

  • Recovery of lost passwords
  • Restoration of deleted files
  • Integrity of existing data post-repair
  • Security of data during transit or service

Section 3: Digital Services Terms

3.1 Project Scope & Change Orders

A. Fixed-Scope Contracts

All digital services (web development, design, marketing) operate on fixed-scope Statements of Work (SOW). Any deviation from signed SOW requires:

  • Written Change Order
  • Additional deposit (50% of change value)
  • Revised timeline acceptance

B. Scope Creep Policy

Requests outside original SOW are automatically billable at:

  • Development work: $150/hour
  • Design revisions: $125/hour
  • Content updates: $85/hour
  • Minimum billing increment: 30 minutes

3.2 Digital Services Warranty

B. Warranty Conditions

Warranty remains valid ONLY if:

  • Client reports issue within warranty period
  • Issue is reproducible and documented
  • No third-party modifications made post-delivery
  • Hosting environment remains unchanged (for web projects)

C. What Warranty Does NOT Cover

  1. Feature requests (new functionality = new project)
  2. Content updates (text, images, products)
  3. Third-party integrations breaking due to their API changes
  4. Browser updates causing display issues
  5. Hosting/server issues outside our management
  6. User error or training needs
  7. Design preference changes ("I don't like it anymore")

D. Post-Warranty Support

After warranty expiration, all support is billable at standard hourly rates with 1-hour minimum. No "quick questions" or "small favors" are included.

Section 4: Payment Terms

4.1 Deposit Requirements

  • Mobile Repair: 100% payment before parts ordered; labor billed on completion
  • Digital Services: 50% deposit to commence, 50% on delivery
  • Enterprise Projects: Milestone-based (25%/25%/25%/25%)

4.2 Late Payment Penalties

  • 5 days late: 1.5% service charge
  • 15 days late: Work pauses, $250 resumption fee
  • 30 days late: Collection proceedings, client liable for legal fees

4.3 Refund Policy

NO REFUNDS for:

  • Completed services
  • Special-order parts (non-returnable)
  • Digital files delivered
  • Travel fees (incurred regardless of outcome)

Partial refunds (at our discretion) only for:

  • Cancelled projects before work commencement (less 15% administrative fee)
  • Undeliverable services due to our incapacity

Section 5: Limitation of Liability

5.1 Liability Cap

FIX VISE LLC'S TOTAL LIABILITY SHALL NOT EXCEED THE TOTAL AMOUNT PAID BY CUSTOMER FOR THE SPECIFIC SERVICE GIVING RISE TO THE CLAIM.

5.2 Excluded Damages

Under NO CIRCUMSTANCES shall Fix Vise LLC be liable for:

  • Consequential damages (lost profits, lost business opportunities)
  • Incidental damages (equipment rental, temporary replacements)
  • Punitive or exemplary damages
  • Damages exceeding 12 months of service fees paid

5.3 Force Majeure

Fix Vise LLC is not liable for delays due to:

  • Weather conditions preventing travel
  • Supplier shortages or shipping delays
  • Pandemic, epidemic, or public health orders
  • Acts of God, terrorism, or civil unrest

Section 6: Dispute Resolution

6.1 Governing Law

These Terms are governed by Texas law. Venue for disputes: Tarrant County, Texas.

6.2 Mandatory Arbitration

All disputes shall be resolved by binding arbitration under AAA rules. No class actions permitted. Customer waives right to jury trial.

6.3 Attorney Fees

Prevailing party entitled to reasonable attorney fees and costs.

Section 7: Severability & Entire Agreement

If any provision is unenforceable, remaining terms survive. This document constitutes the entire agreement between parties, superseding all prior communications.
